BACKGROUND:

Since 1973, the City of Naperville (City) has licensed the Naperville Astronomical Association (NAA), a local amateur astronomy society, to locate its astronomical observation facilities on the grounds of the Springbrook Water Reclamation Center free of charge. In return, NAA has offered regular free educational programs to the public, both at its Springbrook facilities and other area locations.

 

On September 6, 2005, the City Council unanimously approved a 20-year license agreement with NAA that expires on September 5, 2025.

 

Attached is a letter from NAA requesting the Council approve a successor license agreement permitting NAA to continue to locate its facilities at Springbrook. There have been no issues concerning NAA's license over the past 20 years, and Naperville's Water Utilities and Legal Department have reviewed the proposed successor license agreement and support its approval, subject to the addition of a no-cause termination clause discussed below.

 

DISCUSSION:

The purpose of the proposed successor license agreement is to define the relationship between the City and the NAA regarding the placement and operation of NAA's astronomical observation facilities on the grounds of the Springbrook Water Reclamation Center. The proposed successor license agreement has substantially the same terms as the prior license agreement, with the addition of a clause that allows the City to terminate the agreement without cause upon 30 days' notice, after which NAA would have 180 days to vacate the premises.
